Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products, websites, APIs, and services provided by OpuLens Vision Technologies ("OpuLens", "we", "us"), including opulens.technology, platform.opulens.technology, and OpuLens Visioner. By using any of these, you agree to these Terms. If you do not agree, do not use the service.

If you are using OpuLens on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

OpuLens provides multimodal AI products that analyze images, audio, and text on behalf of customers and that may run automated workflows on connected sources. We may add, change, or remove features over time. We will give reasonable notice of material changes that affect paid plans.

You are responsible for keeping your account credentials secure, for all activity that occurs under your account, and for the accuracy of the information you provide. You must notify us promptly if you suspect unauthorized access.

The service is not intended for users under 16. By using OpuLens, you confirm you are at least that age.

Paid plans are billed in advance for the period you select. Fees are non-refundable except where required by law. Subscriptions renew automatically at the end of each billing cycle unless you cancel before renewal.

Usage that exceeds the limits of your plan may be subject to additional fees, an automatic upgrade, or temporary throttling — we will inform you of which applies in your specific agreement.

Until we offer self-serve checkout, customer onboarding and billing are arranged directly with our team. The terms agreed in those onboarding communications form part of your contract with OpuLens.

You agree not to use OpuLens to:

• Break the law or infringe anyone's rights.
• Surveil people without lawful basis, consent, or notice as required in your jurisdiction.
• Process personal data without a valid legal ground or in violation of any data protection regulation that applies to you.
• Attack, probe, or interfere with the platform, other customers, or any third party's systems.
• Reverse-engineer the service, copy our models, or use outputs to build a competing product.
• Upload malware, illegal content, or content that incites violence, hate, or self-harm.

We may suspend or terminate access for violations of this section, with or without notice depending on severity.

You retain ownership of the data, images, audio, text, reference materials, and other content you connect or upload ("Customer Content"). You grant OpuLens a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Content solely to operate and improve the service for you.

You are responsible for having the rights and consents necessary to provide Customer Content to us and for the legal compliance of how you use the resulting outputs.

The OpuLens platform, brand, models, software, and documentation are owned by OpuLens or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service in accordance with these Terms. No other rights are granted by implication.

Subject to your compliance with these Terms, you may use the outputs the service produces from your Customer Content for your own internal and commercial purposes. Outputs are generated by AI and may contain errors; you are responsible for evaluating them before relying on them for material decisions.

Our processing of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

OpuLens may integrate with services we do not control (social platforms, cloud providers, payment processors, etc.). Their terms and policies govern your use of those services. We are not responsible for their availability, accuracy, or conduct.

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, OpuLens disclaims all warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI outputs will be accurate or complete.

To the fullest extent permitted by law, OpuLens will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill — even if we have been advised of the possibility. Our aggregate liability arising out of or related to the service will not exceed the amount you paid OpuLens in the twelve (12) months before the event giving rise to the claim.

You will defend, indemnify, and hold harmless OpuLens, its affiliates, and its personnel against any claim, loss, or damage arising from your Customer Content, your use of the service in violation of these Terms, or your violation of any law or third-party right.

You may stop using the service at any time and cancel your subscription as described in your plan. We may suspend or terminate your access if you breach these Terms or if we are required to by law. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

These Terms are governed by the laws of the jurisdiction in which OpuLens Vision Technologies is established, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the courts of that jurisdiction, except where mandatory consumer-protection law grants you rights elsewhere.

We may update these Terms as the service and applicable laws evolve. We will give notice of material changes via the platform or by email. Continued use of the service after the changes take effect constitutes acceptance of the updated Terms.
